Consolidated C-corporation owns an LLC but for a few reasons wants to spin off or separate the LLC from being part of the activities in the consolidated group.
Is there any way to sell the LLC to its existing members or to get the LLC outside of the consolidated group without paying tax on the sale of the partnership?
