I've found a company that can be my Company Secretary for £50, what do
I with regards to minutes? I've been told I have to write something up
to say Company Secretary has stood down and another one has been
appointed?

I think you'll find they will do your Company Secretarial work
for £50 a year. This just means putting the minutes in the Statutory
books and sending off the annual return.

This isn't being your Company Secretary ! You need a second
officer, one you know and trust, and someone will be be around
to sign stuff !!

The Company Secretary for £50 said they won't do any paper work for
me. The most they will do is come into the bank and sign for the bank
account. They made it clear that they will NOT file any returns, write
any minutes or write up anything for me at all.

Ok, all the forms you need for resignation and appointment
of an officer of a company are on the Companies House websight.

To appoint a Director / Co Sec

To terminate outgoing Director or Co Sec

http://www.companieshouse.gov.uk/forms/generalForms/288B.pdf

They need to be signed by an existing Director (yourself).

They did say they'd send me the 288a forms for me to sign and I'd have
to send them to companies house but that was it, still no minutes or
anything. I haven't paid them or done any web filing to change the Co
Sec. Is there a better way?

Unless you have a relative who'll be Co Sec for you
there isn't.
