LLC reorg

I have a client (LLC) that was founded and organized in Nevada in 2009. The business subsequently moved to CA and their attorney would like to reorganize the LLC in CA. (Apparently there are some legal issues with the original LLC and it's founding member who is no longer involved with the business.) There are no appreciated assets in the company. The first year of operations resulted in losses. I'm having trouble finding tax free reorg data for LLC to LLC. Anything to get me started in the right direction would be gladly appreciated.
