I am new to business, I am working for small company and
never know when it will be closed, mny spouse is not
working. We would like to setup some business like want to
sell some Computer equipment for local corporate offices
over the internet (corporate offices can place order through
internet), also I would like to add some other office
supplies for corporations, since I am working, I would like
to register on my spouse, in that case I would like to
work/help in marketing and sales or contacting corporations.

How can I register this, do I have to register as LLC or
S-corp or sole prop?. Since we are new and small business, I
don't want to spend more money for this, I am looking for
simple way, I called some local CPA, CPA suggested me to go
as S-corp, CPA charges were around $600. Can somebody
suggest me how to go. Also CPA was telling some terms like
Double taxation and all, what is this double taxation?. Also
If I register this on my spouse, can I work with this
company?. Is there any legal issues here?. Also instead of
registering through local CPA, can I do this directly to
save some money?.

I am looking for some business name, but we came up with
some name with word "Corp" in my bisiness name, can I use
this word "Corp" in my business name?, if I use any issues
in registration?.

Mainly we would like to keep a website, where corporations
can place their needs (like computer equipment, office
supplies, some portratis and other needs), this way we would
like to deliver those internet orders to local reatil shops,
which will deliver that stuff by UPS or FEDEX. That's my
plan, but Is there any other suggestion can somebody advice,
only thing we are worrying is, whether this is good or bad,
incase if it didn't workout correctly, then I have to close,
also if it works out we would like to add some more stuff
like Books and Electronis in same way, Please advice me.
Thanks a million in advance.

Also Id there any legal issues while I am working for some
xyz company as direct employee, can I work for this small
business along with my spouse?.

I am not a tax professional, but a small business owner who
comes here for advice. From the questions you are asking it
seems clear that you need to sit down with both a lawyer and
a CPA and have the differences between a Sole
Proprietorship, LLC and S-Corp explained to you, along with
all the various forms you must file to first register and
then pay the various taxes that will be due.
I am looking for some business name, but we came up with

this word "Corp" in my business name?, if I use any issues

This is controlled by the state where you register, but in
my limited experience there are certain terms that cannot be
used unless you meet the legal requirements. For example in
NY an LLC must use LLC at the end of the name. I would be
surprised if you could use Corp in your business name of you
were not organized as a S-Corp or C-Corp.

I' not sure what you are asking.
Also Id there any legal issues while I am working for some

There should no "legal" issues, if you mean will you be
violating any laws. However, your present employer would not
be happy if your small business was competing in any way
with the business of your present employer, or using any
equipment or other resources of your present employer or
interfering with the work your present employer is paying
you to do. If I were you I would tell your present employer
about your plans to start this business and make sure they
do not see any conflict of interest. (Just because they do
does not mean there is a conflict - but it is then something
you will have to discuss with them.)

I doubt you get many responses to your inquiry because there
are too many questions involved. I would recommend you try
reducing your question down to one concise question and try
again.

You are better off hiring a lawyer or CPA, and the CPA would
be a better person to start with. If you try to do things
to save a few bucks now you may be finding yourself in a
situation where you owe lots more in the future.
