USA Single member LLC to multi member Llc

Single member LLC sells a 10 percent interest to a partner. I know that I have to follow Revenue Ruling 95-5. Does anyone know how the debt is reported on the new balance sheet? Does the original owners basis get reduced by the debt assumed?
