USA Transaction Fees - proper GAAP treatment

I have a question regarding the definition of a Transaction Fee and if it is considered a fee what is the proper accounting treatment.

When a company buys the rights and enters into a purchase agreement in return for the possibility of repayment in the future of the seller's potential future cash flows how would the price paid for these rights be treated?
